Dissolução e Liquidação de Empresas: assim como para a constituição de empresas são necessários diversos passos, e não diferente é o que ocorre quando necessário o encerramento das atividades.
O encerramento das atividades empresariais em geral, passa pelas fases de dissolução e de liquidação.
Dissolução de Empresas
A dissolução pode ser feita de forma judicial ou extrajudicial e se dá em regra, nas hipóteses do artigo 1033 do Código Civil: Art. 1.033.
Dissolve-se a sociedade quando ocorrer:
I – o vencimento do prazo de duração, salvo se, vencido este e sem oposição de sócio, não entrar a sociedade em liquidação, caso em que se prorrogará por tempo indeterminado;
II – o consenso unânime dos sócios;
III – a deliberação dos sócios, por maioria absoluta, na sociedade de prazo indeterminado;
IV – (Revogado pela Lei nº 14.195, de 2021)
V – a extinção, na forma da lei, de autorização para funcionar. Parágrafo único. (Revogado pela Lei nº 14.195, de 2021).
Após a dissolução são consideradas encerradas as atividades empresariais e segue-se para a fase da liquidação, em que são apurados os haveres e obrigações da sociedade, e feita sua distribuição entre os sócios na forma determinada em lei, para que as atividades não sejam encerradas com pendências.
Liquidação de Empresas
Para o procedimento de liquidação deve ser nomeado um liquidante que possui deveres e obrigações previstas em lei.
A liquidação encerra-se após aprovadas as contas, e averbação no registro próprio a ata da assembleia.
Se mesmo após encerrada a liquidação, o sócio não estiver satisfeito, somente poderá exigir dos sócios, individualmente, o adimplemento do seu crédito, até o limite do valor por eles recebida em partilha, e se for o caso, propor uma ação de perdas e danos ao liquidante.
